Terms of Service

These Terms describe what you can expect from Sha and what we ask from you in return. They are written in plain English wherever the law lets us.
01 Acceptance of Terms
By creating an account or using Sha ("the App"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the App.
02 The Service
Sha is a social-planning tool that lets you create and share plans, float ideas with friends and vote on options together, build friend groups, run a live discussion thread per plan or idea, share your weekly availability, manage to-dos for things you're going to, import events from your Google Calendar, subscribe to a calendar feed of plans you've RSVPd to, find friends already on Sha by matching from your phone's contacts, and ask an in-App AI assistant ("Ask Sha"), by typing or by voice, natural-language questions about your own plans, friends, ideas, to-dos and availability. The App is available on the web, on iOS and Android, and as a desktop app for Windows, macOS and Linux.
03 Eligibility
You must be at least 13 years old to use Sha. If you are between 13 and the age of majority in your jurisdiction, you confirm that a parent or guardian has reviewed these Terms on your behalf.
04 Account Creation & Security
You can create an account by phone number (verified by a one-time SMS code), with an email and password (verified by a one-time code we send to that email), or by signing in with Google or Apple. Accounts created via Google or Apple do not have a password by default; you can add one any time from Settings. You are responsible for keeping your credentials secure and for activity that happens under your account. Notify us at the contact address below if you suspect unauthorised access.
05 Free Tier and Sha Pro
Sha has a Free tier with caps on the number of plans, ideas, friends, groups, group members, to-dos per plan and invitees per plan or idea. Subscribing to Sha Pro lifts those caps and unlocks features such as recurring plans, anonymous voting, custom descriptions, and assigning specific people to to-dos. The current limits are surfaced inside the App and may change over time. Free users can continue to use the App within the Free caps.
06 Subscriptions & Billing
Sha Pro is billed weekly, monthly or yearly. On the web, payments are processed by Stripe; on iOS by Apple via the App Store; on Android by Google via the Play Store, with subscription metadata routed through RevenueCat. We never see or store your card details. Subscriptions renew automatically until cancelled. You can cancel any time: web subscriptions through the Stripe Customer Portal accessible from in-App, and native subscriptions through your platform's subscription settings. Refunds follow the policy of the billing platform you used to subscribe.
07 Acceptable Use
You agree to use the App only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of it. You must not use Sha for illegal activity (including trafficking, drugs, piracy or fraud), to harass or abuse other users, to send spam, to scrape data, to attempt to break or probe the service, or to misrepresent your identity.
08 User-Generated Content
You retain ownership of the plans, ideas, comments, to-dos, photos and other content you create on Sha. By posting it you grant us a worldwide, royalty-free licence to host, display and process it solely as needed to operate the App for you and the friends you share it with. You are solely responsible for what you post. We operate a zero-tolerance policy for objectionable content and abusive behaviour: you must not post content that is unlawful, hateful, harassing, threatening, sexually explicit, defamatory or otherwise objectionable, and you must not abuse other users. You can report any content or person directly in the App — using the Report action on a profile or piece of content, or the in-App contact form — and you can block any user from their profile card (see Section 10). We do not pre-moderate content, but we aim to review reports and remove violating content and/or eject the responsible user within 24 hours.
09 Plans, Events and Attendance
Sha helps you plan but does not host, insure or supervise gatherings. We are not responsible for whether a plan happens, who turns up, what occurs at it, or any cancellations. The post-plan attendance check-in (where you can mark "I went" / "I didn't go") is informational only; it does not create any obligation between you and the host or other attendees.
10 Friend Codes, Connections & Blocking
Every Sha account has a 6-character Friend Code that anyone with the code can use to send you a friend request. You can suppress requests from people you do not want to hear from. Friend suggestions only begin to appear once you have at least three friends on Sha, so that the connections of a very small circle of friends cannot be inferred from them. Mutual-friend hints shown in friend suggestions are computed from your existing friendships and are visible only to you. You can also block any user from their profile card. Blocking is mutual and silent: you and the blocked person disappear from each other's friends, friend suggestions, search, plans, ideas, comments, to-do assignments and the Ask Sha assistant, and any existing friendship between you is removed. The blocked person is not notified. You can review and reverse your blocks under Settings → Blocked users; unblocking someone does not automatically restore a prior friendship.
11 Anonymous Voting
When the host of an idea enables anonymous voting, other voters' selections are hidden until the host has cast their own vote, at which point the curtain lifts and prior votes become visible to everyone with access to the idea. The fact that someone has voted is always visible — only the specific options they picked are hidden during the anonymous window.
12 Calendar Import & Export
You can connect a Google Calendar to import events into Sha. We request read-only access through Google's OAuth flow and only import the events you explicitly select. You can disconnect at any time from in-App; doing so removes our stored tokens. We also offer a private calendar feed URL so plans you RSVP to can appear in your existing calendar app; you can rotate or revoke the feed token at any time.
13 Push Notifications & Email
Push notifications and email notifications are opt-in. You can fine-tune which categories you receive, set quiet hours during which non-urgent pushes are held back, and choose your event-reminder cadence. A notification may display the name and profile picture of the friend whose action triggered it (for example, the person who invited you or left a comment). Security and account-related emails (e.g. password change confirmations) are sent regardless of preferences as required to operate the service safely.
14 Ask Sha (AI Assistant)
Sha includes an in-App AI assistant called Ask Sha that answers natural-language questions about your own plans, friends, ideas, groups, to-dos, availability and the App's how-to documentation. You can type your questions, or use voice mode to speak them and have the answer read back to you. Questions are answered by large-language-model providers: primarily Google's Gemini API, with Anthropic's Claude API used as an automatic fallback when Gemini is unavailable, and a more capable Gemini model used for a limited share of the most complex questions on Sha Pro. The provider that handles a question receives that question along with the specific Sha data needed to answer it (e.g. plan names and dates, friend first names, RSVP status, vote tallies, to-do titles, comment text). Google and Anthropic have each confirmed that data sent through these paid API integrations is not used to train their models. When you use voice mode, your speech is transcribed to text by your device's operating-system speech recognition and only that text is sent to Sha; the assistant's written answer is then sent to Google's Cloud Text-to-Speech service, which synthesizes the spoken audio that is read back to you. Ask Sha is subject to a weekly rate limit (currently 10 questions per rolling 7 days on the Free tier and 200 on Sha Pro; figures may change and are surfaced in-App). Your conversation history with the assistant is stored against your account so you can resume it later; you can clear it at any time from inside the chat sheet, and it is deleted along with everything else if you delete your account. Ask Sha never exposes another user's private content; it can read another person's availability only when that person is your accepted friend AND has not turned "Availability visibility" off in their privacy settings. The assistant's answers are generated by an AI model and may occasionally be incorrect — they are for convenience, not authoritative reference. 15 Find Friends from Contacts
When you tap "Find friends from contacts" we ask your operating system for one-time read access to your phone's contacts. Phone numbers are normalised on-device, then sent to our server hashed so we can check which of them correspond to existing Sha accounts. We do not retain your contact list after the match completes. You can decline contacts access without losing any other feature; you can also revoke access from your device settings at any time.
16 Apple Wallet & Google Wallet Passes
You can add a pass to Apple Wallet or Google Wallet that displays your Friend Code with a deep link back to the App. The pass contains only the code itself and a link; revoking the pass is done from the wallet app on your device.
17 Termination
You can delete your account at any time from Settings. Deletion is irreversible: your profile, plans, ideas, comments, to-dos, RSVPs and Ask Sha conversation history are removed and content you created elsewhere (e.g. a plan you host) cascades to deletion. We may suspend or terminate access if you breach these Terms or pose a risk to other users.
18 Intellectual Property
The App, including its code, design, name, logo and other branding, is owned by us and protected by intellectual property law. You may not copy, distribute, reverse-engineer or build derivative works of the App without written permission. User-generated content is covered by Section 8.
19 Third-Party Services
The App uses third-party services to operate. These include Supabase (backend, authentication, storage, realtime), Stripe (web payments), RevenueCat (in-app purchase routing), Twilio (SMS one-time-code delivery for phone-based signup, login and recovery), Resend (delivery of our transactional and notification emails, including email-verification, plan and idea notifications, and support and report emails), Google (Sign in with Google, Google Calendar, Google Places autocomplete for addresses, Google Wallet, Google Gemini for the Ask Sha assistant, and Google Cloud Text-to-Speech for reading Ask Sha's answers aloud in voice mode), Anthropic (the Claude API, used as the fallback model for the Ask Sha assistant), Apple (Sign in with Apple, Apple Push, Apple Wallet), Firebase (Cloud Messaging for push routing on Android/web, and Google Analytics for Firebase for product-usage analytics), and Capacitor plugins on native (including the Contacts plugin used by the "Find friends from contacts" flow, and the device speech-recognition used by Ask Sha's voice mode). We are not responsible for the availability or behaviour of those services; their own terms and privacy policies apply to your data when it reaches them.
20 Service Provided "As Is"
The App is provided "as is" and "as available". To the maximum extent permitted by law we make no warranties about uptime, suitability for a particular purpose, or that the App will be error-free. We are not liable for indirect, incidental or consequential damages, and our total aggregate liability to you for any claim relating to the App is limited to the greater of the amount you paid us in the 12 months preceding the claim and £50.
21 Indemnification
You agree to indemnify and hold us harmless from any claim or demand made by a third party arising out of your use of the App, your content, or your breach of these Terms.
22 Governing Law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute relating to the Terms or the App, subject to any non-waivable consumer rights you have in your country of residence.
23 Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this document reflects the latest version. Material changes will be announced in-App. Continued use after a change means you accept the new Terms.
